What is a directed allocation or directed share program?

A company may choose to offer a portion of its securities for purchase to investors selected by that company, such as employees, customers, friends and family. When a company determines to offer securities in this way, it can be referred to as a directed allocation. A directed allocation may also be part of a directed share program or similar plan.
